MAIN RESPONSIBILITIES
Canadian Solar is seeking an experienced commercial lawyer to lead its EMEA legal team. The ideal candidate will be a confident self-starter with strong interpersonal and organisational skills and a demonstrated ability to effectively provide sound legal advice, exercise good business judgment, and work with senior management, outside counsel and customers.  

LEGAL 
  • Work with Sales team to structure, negotiate and draft complex agreements for sales of PV products (PV modules, battery energy storage systems, inverters) and PV turnkey solutions
  • Draft and negotiate other agreements as required, such as procurement agreements, operation and maintenance agreements, inter-company agreements 
  • Work with Credit team, advising on security arrangements for large transactions, such as letters of credit, standby letters of credit, parent company guarantees
  • Communicate EMEA legal risks and obligations to relevant business and operational teams in China
  • Monitor and ensure compliance with applicable EU products law, such as the Batteries Regulation and the Waste Electrical and Electronic Equipment Directive, and related implementing legislation at member states’ level 
  • Monitor and ensure compliance with applicable EU and national supply chain related laws, including in relation to corporate due diligence and forced labour 
  • Develop and implement legal policies, processes, and contract templates
  • Drive the utilisation of AI solutions for the Legal Team
  • Manage a team of commercial lawyers within the region (Spanish, English and German qualified) 
  • Coordinate and supervise outside counsel with a view to balancing legal costs with business goals
  • Ensure that all activities are performed with the highest ethical standards and in compliance with Canadian Solar policies, code, and procedures 

COMPLIANCE 
  • Maintain our comprehensive compliance programmes, data and records, and related training within the EMEA region
  • Provide input on customer compliance requirements, including completion of compliance questionnaires and review of customer compliance clauses in contracts
  • Manage anti-bribery & anti-corruption and KYC due diligence processes on (potential) suppliers and customers and make the necessary risk assessments
  • Provide advice to the operative functions and senior management on compliance matters and risks, in a timely, pragmatic and effective manner
  • Prepare regular compliance reporting to senior management
  • Collaborate with external counsel, business units and various departments on all compliance matters including sanctions screening, cyber-security, privacy and conflicts of interest
  • Manage compliance-related reviews and approvals, whistleblowers, investigations and government communications
  • Manage data protection processes and policies within the EMEA region, ensuring that personal data of staff, customers and other data subjects are processed, stored and transferred in compliance with the applicable data protection and privacy rules (in particular, the General Data Protection Regulation)
COMPETENCIES
  • Qualified practicing commercial lawyer (qualified in England & Wales, Spain, France or Germany) 
  • Minimum of 8 years’ experience commercial law experience at a top-tier law firm and/or international in-house legal department, including drafting, reviewing and negotiating sales contracts
  • Extensive experience and deep knowledge about cross-border trade transactions and related topics such as international payment systems, transportation and incoterms, tariffs and duties, product liability rules and IP laws.
  • Experience in the solar renewables sector and/or EPC contracts and/or experience in disputes and/or product law topics an advantage
LANGUAGES
  • Bi-lingual – English and Spanish or German as a minimum, further European languages an advantage
